Referral Agreement

This is a draft, pending review, and it states the terms already summarised on /refer in full so a referrer who wants the complete wording before signing has somewhere to read it. Nothing here is binding until a referrer and I both sign a copy naming them specifically — see "how this becomes binding" below.

The commercial terms

I pay you 10% of what a client I introduced through you actually pays, calculated on the amount collected after their 5% introduction discount, never on the list price. Payment follows within 14 days of that client's payment clearing, and only after collection — not on signature, not on scope.

If a project is refunded, the referral fee is reversed.

How this becomes binding

No fee is paid on an introduction until both of us have signed a copy of this agreement naming you and the client. The programme terms on /refer are the offer; a signed copy of this document, naming a specific referral, is the acceptance.

If you're outside India

You provide a No-PE (Permanent Establishment) declaration, a Tax Residency Certificate, and Form 10F before any payment is released. These are standard requirements for cross-border payments out of India and are not specific to you.

If you promote this publicly

A private, one-to-one introduction needs no disclosure. If you promote the programme publicly — a post, a newsletter, an affiliate link — you must disclose that it is a paid relationship, per the FTC's endorsement guidance (16 CFR §255.5) or the equivalent rule where you're posting from.
